Festagent.com (hereinafter — the “Website”) is an online platform containing information about film festivals, films and their creators, agency and cinema news, interviews with directors and festival representatives, articles, and reviews.

Use of the Website is permitted only under the terms set forth in this Terms of Use. If you do not agree with these terms, you must immediately cease using the Website. By using the Website, you confirm your acceptance of these Terms of Use.
1. Definitions

1.1. For the purposes of this document and any related or derivative relations between the Parties, the following terms shall apply:
• Terms of Use (hereinafter — the “Agreement”) — this document with all amendments, modifications, and referenced mandatory documents, as well as any agreement concluded on its basis, governing the relationship between the Website Administration and an individual.
• Website — an automated information system accessible online at the following domain(s), including subdomains: https://festagent.com (hereinafter — the “Website”).
• Website Administration (hereinafter — the “Administration”) — a group of persons authorized to manage the Website and interact with Users. All exclusive property rights to the Website, including the domain name, belong to the sole entrepreneur Ivan Andreevich Zolotukhin.
• User — a legally competent individual who agrees to these Terms of Use in their own interest or on behalf of a legal entity they represent.
• User Personal Information — any information that the User provides about themselves during registration or while using the Website, including personal data, information automatically transmitted to the Administration through installed software, such as IP address, browser data, cookies, and other user-related information.
• Content — audio, video, graphic, text, and other materials (including audiovisual works, texts, photos, etc.) uploaded or posted by the User on the Website.
• Service — the set of services provided to the User through the Website.
• Personal Account — a personal section of the Website accessible to the User after registration, intended for storing personal data and managing Website functionalities.
2. General Provisions

2.1. This Agreement regulates relations between Ivan Andreevich Zolotukhin (the owner of festagent.com — hereinafter “Website Owner”) and individuals using the Website’s functionalities (hereinafter — “User”), including uploading, posting, storing, viewing, and other actions with Content.

2.2. This Agreement constitutes a public offer in accordance with Article 396 of the Civil Code of the Kyrgyz Republic. The User’s unqualified acceptance of this Agreement (acceptance of the offer under Article 399 of the Civil Code of the Kyrgyz Republic) occurs through the use of any service, function, or feature of the Website.

2.3. Use of the Website is permitted only under the terms of this Agreement. If the User does not agree with these terms, they must immediately cease using the Website. By using the Website, the User confirms they have read and accepted this Agreement in full, without modification or omission.

2.4. These Terms apply to all Users without exception. Users must comply with the laws of the Kyrgyz Republic, not interfere with Website operations, and not attempt to access Content or Website functions beyond those provided by the Administration.

2.5. If the User disagrees with these Terms, they must delete their account (if registered) and stop using the Website.

2.6. The Administration may send notifications, messages, and other information related to Website usage. Users may opt out of certain communications where the Website functionality allows.

2.7. The Administration may request documents confirming the User’s information and authority to submit requests. Failure to provide such documents allows the Administration to disregard the request.

2.8. Users must be of legal age to enter binding agreements to use the Website.

2.9. The Administration may unilaterally modify this Agreement at any time without individual notification. Users are responsible for reviewing updates. Continued use of the Website constitutes acceptance of the updated Agreement.

2.10. The Administration may make any operational changes to comply with applicable laws of the Kyrgyz Republic.

2.11. Users acknowledge that the Administration may suspend services at any time, except for already paid periods.

2.12. The Website provides no warranties. The Administration does not guarantee:

2.12.1. that the Website functions will meet User requirements;
2.12.2. uninterrupted, timely, secure operation or absence of errors;
2.12.3. accuracy or reliability of information obtained via the Website.

2.13. Use of the Website is at the User’s own risk. The Administration is not liable for data loss or other damage to User systems.

2.14. Users consent to receiving informational and advertising messages in accordance with the Law “On Advertising” of the Kyrgyz Republic. Users may opt out via available Website functions.

2.15. Ignorance of the Terms does not exempt the User from compliance.

2.16. Website services cannot be altered to suit individual requests unless expressly agreed.

2.17. All intellectual property on the Website is protected by law. Unauthorized use may result in civil, administrative, or criminal liability.

2.18. Users claiming rights violations due to Administration or third-party actions must notify the Administration.

2.19. The Website Owner retains all rights to the Website and domain. Access is granted under these Terms, related documents, and Kyrgyz law.
3. User Registration

3.1. To access all Website functionalities, Users must register via:

3.1.1. Completing the electronic registration form to receive a login and password; or
3.1.2. Logging in via OpenID or social services (Facebook, VKontakte, Google).

3.2. Users must provide accurate and current information and update it as needed. The Administration generally does not verify this information.

3.3. The Administration may block or delete User profiles, restrict access, or remove Content without explanation for violations of the Agreement or false information.

3.4. Access to Personal Accounts requires login credentials. Users are responsible for password security.

3.5. Users are fully responsible for actions taken via their accounts, including those by third parties with permission.

3.6. Users must immediately report unauthorized access or confidentiality breaches.

3.7. Users may edit or delete their Personal Account at any time.
4. Privacy

4.1. The Website is not liable for third-party disclosure of User Personal Information. The Administration takes reasonable measures to protect Personal Information but cannot guarantee complete security.

4.2. Users may not disclose confidential Website information without written consent.

4.3. No Agreement provision grants Users rights to the Website Owner’s trademarks, domain names, or branding without written permission.

4.4. Personal Information is processed according to the Privacy Policy: festagent.com/en/confidential_policy

4.5. Users consent to the publication of their names and information provided about third parties when posting Content.
5. Content Submission and Responsibility

5.1. The User is solely responsible for ensuring compliance with applicable law when using the Services of the Site, as well as for the compliance of any Content submitted by the User with applicable law, including responsibility to third parties in cases where the User’s submission of certain Content or the nature of such Content violates the rights or lawful interests of third parties, including but not limited to moral rights of authors, other intellectual property rights, and/or infringes upon other intangible rights.

5.2. The User represents and warrants that they currently possess (and will continue to possess throughout the use of the Site) all necessary licenses, rights, approvals, and permissions required for the Owner of the Site to use the User’s Content for the provision of the Site’s Services, as well as to otherwise use the User’s Content as provided for by the Site and this Agreement.

5.3. The User acknowledges and agrees that the Administration is not obligated to review any type of Content submitted and/or distributed by the User via the Site’s Services. The Administration reserves the right (but is not obligated) to, at its sole discretion, refuse assistance in posting and/or distributing the User’s Content or to remove any Content available via the Site’s Services. The User acknowledges and agrees that they are responsible for assessing all risks associated with the use of the Content, including the reliability, completeness, or usefulness of such Content.

5.4. The Owner of the Site and other Users of the Site are not obliged to provide reports on the usage of Content, the rights to which are granted to the Owner of the Site under this Agreement, unless expressly stipulated otherwise herein or in supplemental agreements.

5.5. No remuneration is payable to the User for any Content uploaded, unless expressly provided otherwise in special provisions published by the Administration on the Site or in supplemental agreements with the User.

5.6. In situations where the Administration has reason to doubt that the User holds the rights to any Content submitted by the User, or if there are grounds to believe that the Content infringes upon any rights or lawful interests of third parties, or if the Content contradicts the requirements of this Agreement and/or applicable law of the Kyrgyz Republic, the Administration reserves the right, at its discretion, to remove the relevant Content from the Site without prior notice to the User. This provision does not impose an obligation on the Administration to routinely moderate or supervise the Content posted on the Site.

5.7. The Administration further reserves the unilateral right to remove Content from the Site that is not expressly prohibited under this Agreement but is deemed by the Administration to be inconsistent with the Administration’s content policy or ambiguous, creating a risk of non-compliance with applicable laws of the Kyrgyz Republic.

5.8. Responsibility for unauthorized copying and use of Content lies with the parties who unlawfully use the Content uploaded to the Site.
6. Terms of Use of the Site Services

6.1. The content posted on the Site, as well as the User’s actions, must comply with the following conditions:

6.1.1. Content and User actions must not intentionally or accidentally violate any applicable laws of the Kyrgyz Republic or international regulations.

6.1.2. Content and User actions must not offend morality, honor, or dignity, violate the rights or legally protected interests of third parties or organizations, infringe copyrights or related rights, unlawfully affect any patents, trademarks, trade secrets, or intellectual property.

6.1.3. Content and User actions must not promote hatred and/or discrimination based on race, ethnicity, gender, or social status, incite religious, racial, or interethnic hostility, contain scenes of violence or cruelty to animals, etc.

6.1.4. Content and User actions must not violate or infringe upon the rights of minors or cause harm to minors in any form.

6.1.5. Posting content that the User is not legally entitled to make available, under law or contractual obligations, is prohibited.

6.1.6. Users are prohibited from uploading, posting, or distributing unsolicited advertising, spam, chain letters, invitations to participate in financial pyramids, or promoting goods or services by other means.

6.1.7. Users may not upload, send, transmit, or otherwise distribute content containing viruses, malicious code, files, or programs intended to disrupt, destroy, or limit the functionality of any computer or telecommunications equipment or software, for unauthorized access, including serial numbers for commercial software, programs for generating them, login credentials, passwords, or other tools for unauthorized access to paid online resources, or links to such information.

6.1.8. Users may not post content capable of causing harm, containing threats, obscene language, offensive expressions, or propositions contrary to generally accepted moral norms, or unlawfully using personal information of third parties (including, but not limited to, names, addresses, phone numbers, or other personal contact information without the owner’s consent).

6.1.9. Posting pornographic content, content depicting or promoting violence or cruelty, content containing elements of child pornography, vulgar, obscene, or sexually explicit materials, or advertising/promoting sexual services (even disguised as other services) is prohibited.

6.1.10. Users may not impersonate another person or organization/community without sufficient rights, including employees of the Site Administration or the Site Owner, and may not mislead other Users or the Site Administration regarding the characteristics or properties of any subjects or objects.

6.1.11. Users may not collect or store personal data of others without authorization.

6.1.12. Users may not interfere with the normal operation of the Site or its services.

6.1.13. Users may not post links to online resources containing content that violates the laws of the Kyrgyz Republic.

6.1.14. Users may not facilitate actions aimed at violating the restrictions and prohibitions set forth in this Agreement.

6.1.15. Users may not post content promoting criminal activity or providing instructions, guidance, or advice for committing crimes; explaining the production, use, or handling of narcotics or their analogs, explosives, or weapons; or containing extremist materials.
7. Procedure for Posting Films and Film Cards on the Site

7.1. This section applies only to Users who have posted or intend to post a Film or Film Card on the Site.

Definitions:
• Film: Content posted by the User on the Site as a link to User-owned content hosted on vimeo.com and/or youtube.com.
• Film Card: Content posted by the User containing information about the Film, which may include a link to the Film.

7.2. To submit a Film or Film Card for posting (the “Submission”), the User may either post the information themselves or instruct the Site Administration to post the Film information or link on the Site using available functionality.

7.3. Users eligible to submit are citizens of the Russian Federation, the Kyrgyz Republic, or foreign nationals over 18 years old, including individuals acting on behalf of sole proprietors or legal entities.

7.4. To submit, the User must provide:
• Film title (in English, Russian, and original language), link to Film, director, cast and crew, year of production, duration, genre, age rating, brief synopsis, stills, User contact details, legal status, passport data (for individuals), festival history, subtitles, trailer, vertical poster, behind-the-scenes videos, production photos, interviews, media links, links to kinopoisk.ru and imdb.com, and subtitle files.

7.5. Films must meet the following technical requirements:
• Embedded English subtitles with the option to disable.
• Age rating information.

7.6. By submitting, the User confirms they hold the rights to the content. If rights are lacking, the Administration may block access to the Site or its parts without notice.

7.7. Submitted materials must comply with the content requirements of this Agreement. Non-compliant content may be restricted or removed.

7.8. Users may provide updated or additional information to the Site Administration, which may update the Film Card; Users with editing access may make changes directly.

7.9. Users may submit Films to Festivals listed on the Site following the Festival submission rules.

7.10. Privacy settings for Film Cards:
• Public: Full information visible to all visitors.
• Restricted: All information visible except Film link, which is accessible only to festival representatives.
• Festivals Only: Information visible only to festival representatives.
• Private: Information visible only to the User.
• Password-Protected: Access restricted by password.

The Administration retains the right to view all Films uploaded by Users for review purposes only.

7.11. Users retain all rights to Films and Film Cards but grant:
• The Site Owner the right to reproduce, distribute, publicly display, and use content for the Site’s services and promotion in any media format, according to privacy settings.
• Other Users a non-exclusive, royalty-free license to access and use content via the Site, in accordance with privacy settings.
• Licenses last as long as the User retains exclusive rights to the content.
8. Procedure for Posting a Festival Card by the User in the Film Festival Catalog (for Festival Representatives)

The provisions of this section apply only to those Users who have posted or intend to post a Festival on the Site, namely in the “Festivals” section of the Site, located at: festagent.com/en/festivals.

For the purposes of this section, the following terms and definitions apply:
• Festival Card — a type of Content that the User posts on the Site containing information about the festival, and which may also contain a link to the festival.
• Film Festival Catalog — a type of Content containing all Festival Cards and displaying them in accordance with the privacy settings selected by the User for their Festival Card.

8.1. To submit an application for posting a new Festival Card or for obtaining access to edit an already created Festival Card on the Site (hereinafter referred to as the “Application”), the User independently fills out a form on the Site.

8.2. An Application may be submitted only by a citizen of the Russian Federation, a citizen of the Kyrgyz Republic, or a foreign citizen who is at least 18 years old and who is a representative of the Festival, as well as by individuals acting on behalf of sole proprietors or legal entities.

8.3. By submitting information in the Application, the User confirms that they have the rights to post such information. In the absence of the necessary rights to the content specified and/or posted in the Application, the Site Administration has the right to block the User’s access to the Site or to its separate parts without prior notice.

8.4. Materials submitted in the Application must comply with the content requirements specified in this Agreement. In case of non-compliance of the posted Content with these requirements, the Site Administration has the right, without prior notice, to restrict access to such Content or remove it. After verifying the data submitted by the User in the form, the Site Administration decides on adding the Festival Card to the Festival Catalog on the Site.

8.5. In the case of submitting an Application for access to edit a Festival Card already posted on the Site, after completing the form on the Site, its verification by the Site Administration, confirmation of the User’s email address, and verification of the User’s authority to represent the festival’s interests, the Site Administration provides the User, through the Site’s personal account functionality, access to the User’s Festival Card and the ability to edit it.

8.6. In the case of submitting an Application to post a new Festival Card, a registered User creates a Festival Card in accordance with the rules established in the Site section at: https://festagent.com/en/fa_for_festivals. After verification of the Application by the Site Administration, the Festival Card is posted in the Film Festival Catalog.

9. Third-Party Websites and Advertising

9.1. The Site Administration has the right to advertise its own activities and services, as well as goods, works, and services of third parties.

9.2. The Site’s services may contain links to other websites on the Internet (third-party websites). Such third parties and their Materials are not checked by the Site Administration for compliance with any requirements (accuracy, completeness, legality, etc.). The Site Administration and/or the Site Owner are not responsible for any information or materials posted on third-party websites to which the User gains access using the services, including any opinions or statements expressed on third-party websites, advertising, etc., as well as for the availability of such websites or Materials and the consequences of their use by the User.

9.3. A link (in any form) to any website, product, service, or any commercial or non-commercial information posted on the Site does not constitute approval or recommendation of such products (services, activities) by the Site Administration, except where this is explicitly indicated on the Site’s resources.

9.4. The Site Administration and/or the Site Owner are not responsible for advertising placed on the Site’s services, to the extent established by the legislation of the Kyrgyz Republic.

9.5. The Site Administration and/or the Site Owner are not responsible for any types of losses that occurred as a result of the User’s use of the Site’s services or individual parts/functions of the services.

9.6. The User uses the Site’s services at their own risk. The services are provided “as is.” The Site Owner does not assume any responsibility, including for the compliance of the services with the User’s objectives.

9.7. The Site Administration does not guarantee that: the services meet or will meet the User’s requirements; the services will be provided continuously, quickly, reliably, and without errors; the results obtained using the services will be accurate and reliable and can be used for any purpose or in any capacity (for example, to establish and/or verify any facts); the quality of any product, service, information, etc., obtained using the services will meet the User’s expectations. Any information and/or materials (including downloadable software, emails, any instructions, and guides for action, etc.) that the User accesses using the Site’s services may be used at the User’s own risk, and the User independently assumes responsibility for possible consequences of using such information and/or materials, including any damage that it may cause to the User’s computer or to third parties, data loss, or any other harm.
10. Miscellaneous Provisions

10.1. This Agreement constitutes a contract between the User and the Site Owner regarding the use of the services and supersedes all previous agreements between the User and the Site Owner.

10.2. This Agreement is governed by and interpreted in accordance with the legislation of the Kyrgyz Republic. Issues not regulated by this Agreement shall be resolved in accordance with the legislation of the Kyrgyz Republic. All possible disputes arising from the relations regulated by this Agreement shall be resolved in the manner established by the current legislation of the Kyrgyz Republic. Throughout this Agreement, unless explicitly stated otherwise, the term “legislation” shall be understood as the legislation of the Kyrgyz Republic, as well as the legislation of the User’s place of residence.

10.3. Nothing in this Agreement may be interpreted as establishing agency relationships, partnership relations, joint activity relations, employment relations, or any other relationships not expressly provided for by this Agreement between the User and the Site Owner.

10.4. If for any reason one or more provisions of this Agreement are deemed invalid or unenforceable, this shall not affect the validity or applicability of the remaining provisions of the Agreement.

10.5. The Site Owner’s inaction in the event of a User or other Users’ violation of the Agreement does not deprive the Site Owner of the right to take appropriate actions to protect its interests later and does not constitute a waiver of the Site Owner’s rights in the event of similar or subsequent violations.

10.6. This Agreement is drawn up in the Russian language.

10.7. The Site and its services, including all scripts, applications, and site design, are provided “as is.” The Site Owner disclaims any warranties that the Site or its services may be suitable for specific purposes. The Site Owner cannot guarantee or promise any specific results of the Site and/or Services.

10.8. To avoid misunderstandings, the User should exercise caution when downloading from the Site or using any links posted on it, and when using any files, including software. The Site Owner strongly recommends using only licensed, including antivirus, software.

10.9. By using the Site, the User agrees that they download any materials from the Site or via the Site at their own risk and assume personal responsibility for possible consequences of using such materials, including any damage they may cause to the User’s computer or to third parties, data loss, or any other harm.

10.10. Under no circumstances shall the Site Owner or its representatives be liable to the User or any third parties for any indirect, incidental, or unintentional damage, including lost profits or lost data, harm to honor, dignity, or business reputation, caused in connection with the use of the Site, the Site content, or other Materials accessed via the Site, even if the Site Administration has warned or indicated the possibility of such damage.

10.11. The rules for using individual services published on this page are also considered part of this User Agreement.

10.12. In the event of claims by third parties to the Site Owner and/or damage to the Site Owner caused by the User’s violation of third-party rights when posting Content on the Site, the User agrees to assist in resolving the claims and to compensate the Site Owner, upon written request, within 7 (seven) days from the receipt of such request, for all documented damage resulting from the User’s violation of third-party rights when posting Content on the Site.
